1. The restricted stock award vests in four equal installments on each of September 14, 2017, December 14, 2017, March 14, 2018 and June 14, 2018, subject to the Reporting Person's continued service on the board of directors of SeaSpine Holdings Corporation through each vesting date.

2. Includes 9,700 shares of common stock held by the Kirtley & Leslie Stephenson 2014 Trust, of which the Reporting Person is a trustee. The Reporting Person has shared investment power over 9,700 shares of common stock held by the Kirtley & Leslie Stephenson 2014 Trust.
