Explanation of Responses:

1. This restricted stock award was issued to the Reporting Person pursuant to his election under the issuer's director compensation program to receive such award in lieu of a portion of the cash retainer the Reporting Person is entitled to receive in his capacity as a non-employee director of the issuer. The restricted stock award vests immediately on the date of grant. The number of shares was calculated by dividing the portion of the retainer the Reporting Person elected not to receive in cash by the closing price of the issuer's common stock on the last trading day of the quarter.
