Represents shares surrendered to Issuer for the payment of taxes in connection with the vesting of the following restricted stock awards: 3,186 pursuant to a restricted stock award granted on January 25, 2019, 4,161 pursuant to a restricted stock award granted on March 1, 2018 and 2,093 pursuant to a restricted stock award granted on February 27, 2020 at a net settlement price equal to the closing price on the NYSE on February 1, 2021 of $39.62 and does not represent a sale by the reporting person.
