Explanation of Responses:

1. The reporting person was granted 3,555 restricted stock units which will vest in three equal annual installments on March 6, 2021, March 6, 2022, and March 6, 2023.

2. Each restricted stock unit represents a contingent right to receive one share of the Issuer's common stock.

3. The reporting person was granted 5,333 performance shares which will vest based upon the Issuer's adjusted EBITDA (50%) and ROIC (50%) over a three-year performance period ending December 31, 2022.

4. Each performance share represents a contingent right to receive one share of the Issuer's common stock based upon the Issuer's adjusted EBITDA (50%) and ROIC (50%) over a three-year performance period ending December 31, 2022.
