Explanation of Responses:

1. Represents 8,575 shares of common stock of Comverse, Inc. deliverable in settlement of an award of restricted stock units granted September 22, 2014, with 2,859 of such shares to vest and be delivered on September 22, 2015 and 2,858 of such shares to vest and be delivered on each of September 22, 2016 and 2017.

2. The stock option vests in three installments with 8,297 shares vesting on each of September 22, 2015 and 2016 and 8,296 shares vesting on September 22, 2017.
