1. One quarter of the target number of annual performance-vesting Restricted Stock Units awarded in Fiscal 2016 vested based on earnings per share for Fiscal 2016 that exceeded the threshold performance level established under the terms of the awards.

2. This option is exercisable in three equal annual installments beginning May 31, 2017.

3. This option is no longer exercisable beginning on this date.
