Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one share of Issuer's common stock.

2. On December 15, 2014, the reporting person was granted 1,205 restricted stock units relating to Computer Sciences Corporation ("CSC") common stock. In connection with the issuer's spin-off from CSC on November 30, 2015, the reporting person was deemed to hold an equal number of restricted stock units of CSRA, which vest in equal installments on the second and third anniversaries of the grant.
