Explanation of Responses:

1. This transaction represents the withholding by Issuer of Issuer shares to satisfy tax liabilities incurred in connection with the vesting of restricted stock units ("RSUs") previously granted by the Issuer. The timing and amount of the transaction were determined by the terms of the applicable restricted stock award and were not within the control of Mr. Salters.

2. Includes a grant of RSUs that have vested or shall vest in substantially equal one-fourth increments on each of the following dates as long as grantee serves as an employee of the Issuers or an affiliate thereof through the applicable vesting date: June 30, 2016, June 30, 2017, June 30, 2018, and June 30, 2019.
