Explanation of Responses:

1. Such options were granted pursuant to the Amended and Restated CytoSorbents Corporation 2014 Long-Term Incentive Plan and vest in four equal parts at the end of each calendar quarter. The grant gives effect to vesting which was to occur on March 31, 2019 and June 30, 2019. The remaining portion of the grant will vest on September 30, 2019 and December 31, 2019.
