Explanation of Responses:

1. Each share of Series B Preferred Stock has 10 votes on all matters brought before meetings of shareholders, vote alongside holders of Common Stock and not as a separate class. Beginning on 11/12/17, each share of Series B Preferred Stock is convertible into 10 shares of Common Stock. The conversion privilege is perpetual with no expiration date.

2. Effective 06/05/2018, Mr. Smith converted $80,000 of accrued salary into 400,000 shares of Series C Preferred Stock. These 400,000 shares of Series C Preferred Stock have been added to the 1,000,000 shares of Series C Preferred Stock previously owned by Mr. Smith for a total of 1,400,000 shares of Series C Preferred Stock. Each share of Series C Preferred Stock has 100 votes on all matters brought before meetings of shareholders, and vote alongside holders of Common Stock and not as a separate class. Beginning on 9/27/2020, each share of Series C Preferred Stock is convertible into 100 shares of Common Stock. The conversion privilege is perpetual with no expiration date.
