Explanation of Responses:

1. The restricted stock units convert into common stock on a one-for-one basis.

2. Shares delivered to the issuer for the payment of withholding taxes due upon the vesting of restricted stock units previously granted under the SPX FLOW Stock Compensation Plan.

3. Grant of restricted stock units pursuant to the SPX FLOW Stock Compensation Plan. Each restricted stock unit represents a contingent right to receive one share of the Issuer's common stock.

4. The restricted stock units vest in three equal annual installments beginning on the first anniversary of the grant date.

5. 2019 restricted stock units granted pursuant to the SPX FLOW Stock Compensation Plan. Each restricted stock unit represents a contingent right to receive one share of the Issuer's common stock.

6. The restricted stock units vest in three equal annual installments beginning on February 28, 2020.
