The securities are time-based restricted stock units awarded by the Issuer, and vest over a period of two years in three equal installments, such one-third installments commenced on May 21, 2019 (the grant date of said securities) with such initial installment simultaneously paid, and the remaining two-thirds vesting equally on each of May 21, 2020 and May 21, 2021, respectively, with full acceleration of vesting upon a change of control of the Issuer, and in accordance with the terms of the Issuer's 2019 Incentive Compensation Plan and the form of restricted stock unit agreement with respect to such award. |
