Item 1.02 - Termination of a Material Definitive Agreement
On May 4, 2023 (the “Effective Date”), Toast, Inc. (the “Company”) entered into an Agreement for Termination of Lease and Voluntary Surrender of Premises with ARE-MA Region No. 88 Tenant, LLC (the “Landlord”) for certain premises (the “Premises”), located at 401 Park Drive, Boston, Massachusetts 02215 (the “Lease Termination Agreement”). The Lease Termination Agreement provides that the Lease Agreement, dated as of June 12, 2015, by and between the Company and Landlord (as amended, the “Lease”), with respect to the Company’s approximately 111,294 square feet of space on the eighth floor of the Premises, will terminate on June 30, 2023, and with respect to the Company’s approximately 22,495 square feet space on the fifth floor of the Premises, will terminate on December 31, 2024.
As consideration for the Landlord’s agreement to enter into the Lease Termination Agreement and accelerate the expiration dates of the terms of the Lease, the Company has agreed to pay to Landlord an aggregate early termination fee of approximately $16 million, subject to certain reimbursement provisions.
