Explanation of Responses:

1. On August 1, 2015, the board of directors of the Company appointed Dianne Rosenfeld as director of the Company. The Company has agreed to issue Ms. Rosenfeld up to 15,000 shares of restricted common stock for serving on the board of directors. Such shares shall vest in four (4) equal tranches over a period of twelve (12) months from her date of appointment. No shares have been issued to Ms. Rosenfeld as of this date and she does not own any other shares.
