Explanation of Responses:

1. The Reporting Person is the trustee of the SS 2021 COUR GRAT dated August 11, 2021, which is the direct beneficial owner of the securities. Effective August 18, 2021, the shares were transferred to the SS 2021 COUR GRAT from the Blue Mountain Trust, dated April 29, 2019, which transfer represented a change in form of beneficial ownership exempt from Section 16 of the Securities Exchange Act of 1934, as amended, pursuant to Rule 16a-13. The Reporting Person inadvertently omitted reflecting this transfer on the Form 4 filed on May 16, 2022.
