On July 18, 2018, the European Commission (EC) announced its decision that certain contractual provisions in agreements between Google LLC (“Google”), a wholly-owned subsidiary of Alphabet Inc. (“Alphabet”), and Android partners infringed European competition law. The EC decision imposes a €4.34 billion fine and directs the termination of the conduct at issue. Google’s blog post response to the EC decision is attached hereto as Exhibit 99.1 and is incorporated in this Item 8.01 by reference. Alphabet expects that it will accrue the fine in the second quarter of 2018.
