Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On April 15, 2019, the Company appointed Michael Stoecker as its Chief Operating Officer for an initial three-year term. Mr. Stoecker, age 55, brings extensive experience in petro-chemical, tunnel, mining, heavy civil, commercial, environmental and power delivery sectors where he has spent the last 11 years serving in various executive roles for Kenny Construction Company, a wholly owned subsidiary of Granite Construction Incorporates (NYSE:GVA); he served as President the last four years. Mr. Stoecker graduated from Iowa State University with a B.S. degree in Construction Engineering and has a J.D. degree from Saint Louis University. He does not have a family relationship with any member of the Company's board of directors or any executive officer of the Company. The Company and Mr. Stoecker intend to execute an employment agreement to address Mr. Stoecker's benefits and compensation at a later date.
