Explanation of Responses:

1. Represents restricted stock units ("RSUs") which will vest in three equal annual installments beginning on the first anniversary of March 26, 2021.

2. Represents 45,728 shares of Common Stock, 85,875 restricted stock units and 39,292 performance stock units that are subject to forfeiture and vesting.

3. In addition to the RSUs described in footnote 1, the Company also granted 15,241 performance-based RSUs that become subject to vesting based upon certain targets. These performance-based RSUs will not be included in the total of column 5 until satisfaction of the performance criteria.
