1. These sales were effected pursuant to a Rule 10b5-1 Sales Plan adopted by the Reporting Person on December 2, 2016.

2. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $80.52 to $81.51, inclusive. The Reporting Person undertakes to provide to the Issuer, any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in footnote (2) to this Form 4.

3. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $81.53 to $82.48, inclusive. The Reporting Person undertakes to provide to the Issuer, any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in footnote (3) to this Form 4.

4. 49,963 shares vested and became exercisable on September 14, 2016; the remaining shares will vest and become exercisable in 36 equal monthly installments thereafter until September 14, 2019, subject to the Reporting Person's continuous service with the Issuer on each such date.
