Explanation of Responses:

1. Represents restricted stock units granted under the L.S. Starrett 2021 Long-Term Incentive Plan. Each restricted stock unit represents the right to receive one share of Common Stock, par value $1.00 per share. The restricted stock units shall vest in one-third increments on the first, second and third anniversary of the grant date, subject to the continued service of the director.
