Explanation of Responses:

1. Represents a restricted stock award (the "Restricted Stock Award") pursuant to the Issuer's Amended and Restated 2016 Equity Incentive Plan. The Restricted Stock Award vests in two equal installments beginning on February 16, 2027, subject to the Reporting Person's continued service with the Issuer.

2. Represents number of shares withheld by the Issuer to cover applicable taxes upon vesting of restricted shares previously granted.

3. Represents a stock option award (the "Stock Option Award") pursuant to the Issuer's Amended and Restated 2016 Equity Incentive Plan. The Stock Option Award vests in three equal annual installments beginning on February 16, 2026, subject to the Reporting Person's continued service with the Issuer.
