Explanation of Responses:

1. Consists of shares subject to restricted stock awards previously granted to the reporting person. Each restricted stock award represents a contingent right to receive one share of the issuer's common stock. Each award vests over a four year period, with 25% of the shares vesting one year from the grant date and 25% of the shares vesting each succeeding anniversary until all shares have vested.

2. Grant of non-qualified stock option which vested over a two year period, with 50% of the shares vesting on the first anniversary of the grant date and the remaining 50% of the shares vesting on the second anniversary of the grant date.

3. Grant of non-qualified stock option which vested over a four year period, with 25% of the shares vesting one year from the grant date and 25% of the shares vesting on each succeeding anniversary until all shares have vested.
