Explanation of Responses:

1. Each share of Common Stock was disposed of at the effective time of the merger of Computer Sciences Corporation (the "Company") with and into New Everett Merger Sub, Inc. on April 1, 2017 (the "Merger") by conversion into one share of common stock of DXC Technology Company.

2. Each Restricted Stock Unit (RSU) entitles the reporting person to receive one share of common stock upon the vesting date. The RSUs will vest and settle the earlier of (i) one year from the grant date, or (ii) at the next annual meeting of stockholders.

3. Each Restricted Stock Unit was disposed of at the effective time of the Merger by conversion into one restricted stock unit of DXC Technology Company on the same terms and conditions that were in effect immediately prior to the consummation of the Merger.
