| 1. Represents a grant of 116,388 time-based and 116,388 performance-based restricted shares. The time-based restricted shares vest in three equal installments on the first, second and third anniversaries of the grant date, contingent on the reporting person's continued service on each vesting date. The performance-based restricted shares vest only if specified performance measures relating to SecureWorks Corp. are achieved. The performance-based restricted shares, if any, earned by the reporting person in accordance with such performance measures vest in three equal installments on each of (i) a certification date occurring no later than 75 days following February 2, 2018, SecureWorks Corp.'s fiscal year end, (ii) the second anniversary of the grant date and (iii) the third anniversary of the grant date, contingent on the reporting person's continued service on each vesting date. |
