Item 8.01. Other Events.
On March 1, 2018, Parkway Acquisition Corp. ("Parkway") and Great State Bank ("GSB") issued a joint press release announcing the execution of an Agreement and Plan of Merger, dated as of March 1, 2018 (the "Merger Agreement"), pursuant to which Parkway will acquire GSB. The Merger Agreement provides that, upon the terms and conditions set forth therein, GSB will be merged with and into Parkway's wholly-owned bank subsidiary, Skyline National Bank. A copy of the joint press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.
