Explanation of Responses:

1. Represents shares withheld to satisfy tax withholding obligations in connection with vesting of 560,518 restricted stock units ("RSUs"), which reflects 20% of the 2,802,590 RSUs granted to the Reporting Person on February 28, 2022 and previously reported on a Form filed on March 2, 2022.

2. Represents shares withheld to satisfy tax withholding obligations in connection with the vesting of 560,518 performance-vested RSUs ("Performance RSUs"), which reflects 20% of the 2,802,590 Performance RSUs granted to the Reporting Person on February 28, 2022 for which stock price levels were achieved in 2022 as previously reported on a Form 4 filed by the Reporting Person on January 4, 2023.
