Explanation of Responses:

The Issuer awarded the Reporting Person 5,518 time-based RSUs, each of which represents a contingent right to receive one share of the Issuer's common stock, and will vest in equal, 1/4 installments on each of February 16, 2025, 2026, 2027 and 2028, provided that the Reporting Person remains continuously employed by the Issuer on each such date.
