Explanation of Responses:

1. The reported shares underlie a restricted stock unit award which vests on the earlier of the first anniversary of its date of grant and the next date of the annual meeting of stockholders, subject to the terms of the restricted stock unit agreement and the Issuer's Long-Term Incentive Plan. Each restricted stock unit represents the contingent right to receive one share of voting common stock of the Issuer.

2. 33 shares became exercisable on July 17, 2021, and the remaining 67 shares will become exercisable on July 17, 2023.
