Item 7.01. Regulation FD Disclosure.

On August 2, 2024, Permian Resources Corporation (NYSE: PR) (the “Company”) issued a press release announcing the pricing of the previously announced cash tender offer of Permian Resources Operating, LLC, a subsidiary of the Company (the “Issuer”), for any and all of the Issuer’s outstanding 7.75% Senior Notes due 2026 (the “Tender Offer”). A copy of the press release is furnished as Exhibit 99.1 hereto and is incorporated into this Item 7.01 by reference.
