Explanation of Responses:

1. Pursuant to certain share escrow agreement dated December 18, 2018 (the "Share Escrow Agreement"), the Reporting Person agreed to place a total of 5,145,833 shares of common stock into escrow that may be cancelled in the event the Issuer does not meet the performance thresholds for the following 5 fiscal years set forth in the Share Escrow Agreement.
