Item 1.03 Bankruptcy or Receivership.
On June 17, 2022 (the “Petition Date”), nDivision Inc., a Nevada corporation (the “Company”) and its wholly-owned subsidiary, nDivision Services Inc., a Texas corporation (the “Subsidiary,” and collectively with the Company, the “Debtors”) , filed their voluntary petitions for relief under Chapter 7 of the United States Code in the U.S. Bankruptcy Court for the Northern District of Texas, Dallas Division (Cases No. 22-31062-7 and No. 22-31063-7, respectively). No Chapter 7 Trustee(s) have been appointed in the Debtors’ cases as of the Petition Date.
