| 1. On August 31, 2016, in connection with the liquidation of BGM Holding, L.P. ("BGM"), BGM distributed the reported securities to its limited partners, Spectrum Equity Investors VI, L.P. ("SEI VI"), BGM Spectrum Aggregator LLC ("Aggregator"), TA XI, L.P., TA Atlantic and Pacific VI, L.P. and TA Investors IV, L.P., in accordance with BGM's Amended and Restated Limited Partnership Agreement. The Aggregator then distributed the shares it received from BGM to Spectrum VI Co-Investment Fund, L.P. ("Co-Investment Fund") and Spectrum VI Investment Managers Fund, L.P. ("IMF"). All distributions discussed in this footnote were pro rata and not for consideration. SEI VI, Co-Investment Fund, IMF, TA XI, L.P., TA Atlantic and Pacific VI, L.P. and TA Investors IV, L.P. have entered into lock-up agreements relating to the reported securities on substantially the same terms as the lock-up agreement previously entered into by BGM in connection with the initial public offering of the reported securities. |
