1. Consists of 22,552 restricted stock units ("RSUs"). Each RSU represents the right to receive one share of common stock upon vesting. The RSUs will vest as to 25% of the original number of shares on each of February 1, 2019, February 1, 2020, February 1, 2021, and February 1, 2022.

2. Includes 125,456 RSUs (including the 22,552 RSUs described in footnote 1). Each RSU represents the right to receive one share of common stock upon vesting.
