1. Each Restricted Stock Unit (RSU) entitles the reporting person to receive one share of common stock upon the vesting date. The RSUs will vest and settle the earlier of (i) one year from the grant date, or (ii) at the next annual meeting of stockholders.

2. This amended Form 4 is being filed to correct the number of derivative securities acquired in the reported transaction and beneficially owned following the reported transaction.
