Explanation of Responses:

1. Represents an automatic grant of restricted stock under the Company's 2012 Incentive Compensation Plan valued at $81,000, issued as part of annual director compensation and approved by the Board of Directors of the Company on July 25, 2019. The number of shares was determined based on a stock price of $9.71, the average of the high and low trading prices of the Company's common stock on July 25, 2019, the date of the Company's Annual Meeting of Shareholders. The restricted stock will vest on February 29, 2020, the last day of the fiscal year of grant, provided that the director remains in office until the last day of the fiscal year.
