Explanation of Responses:

1. The shares subject to the option will vest over a period of 2 years, with 1/5th of the shares subject to the option vested on October 1, 2016, and the remaining shares vesting in equal monthly installments over the 24 months thereafter, provided the reporting person remains in continuous service on each vesting date, subject to accelerated vesting in certain events, including certain terminations of the reporting person or upon certain changes of control of the Issuer.

2. Reflects a 1-for-2 reverse stock split of the Issuer's common stock effected on December 14, 2017.
