FINAL AMENDMENT TO TENDER OFFER STATEMENT
This Amendment No. 2 supplements and amends the Tender Offer Statement on Schedule TO filed with the Securities and Exchange Commission (the "SEC") on February 11, 2019, as amended by Amendment No. 1 to Schedule TO filed with the SEC on March 18, 2019, by Hancock Park Corporate Income, Inc., a Maryland corporation (the “Company”), in connection with the offer by the Company to purchase up to 465,917 shares (the “Shares”) of its issued and outstanding common stock, par value $0.001 per share at a price equal to $13.27 per Share (which reflects the Company’s net asset value per share on March 26, 2019). The tender offer was made upon and subject to the terms and conditions set forth in the Offer to Purchase, dated February 11, 2019 (as amended, the "Offer to Purchase"), and the related Letter of Transmittal (as amended, the "Letter of Transmittal," which together with the Offer to Purchase, constituted the “Offer”). The Offer expired at 11:59 P.M., Eastern Time, on April 5, 2019, and approximately 7,407 Shares were validly tendered and not withdrawn pursuant to the Offer as of such date. In accordance with the terms of the Offer, the Company purchased all 7,407 Shares validly tendered and not withdrawn at a price equal to $13.27 per Share for an aggregate purchase price of approximately $98,296.
