Item 1.01 | Entry into a Material Definitive Agreement. |
On November 27, 2019, Hancock Park Corporate Income, Inc., a Maryland corporation (the “Company”), entered into a Note Purchase Agreement (the “Note Purchase Agreement”) with a qualified institutional investor (the "Purchaser") pursuant to which the Company sold to the Purchaser in a private placement an unsecured note in an aggregate principal amount of $15,000,000 (the "Note"). The purchase price of the Note was $14,700,000 after deducting the offering price discount. The Note has a fixed interest rate of 6.50% and is due on November 27, 2024, unless redeemed, purchased or prepaid prior to such date by the Company or its affiliates in accordance with its terms. Interest on the Note will be due quarterly. In addition, the Company is obligated to repay the Note at par if certain change in control events occur. The Note is a general unsecured obligation of the Company that ranks pari passu with all outstanding and future unsecured unsubordinated indebtedness issued by the Company.
The Company intends to use the net proceeds for the general corporate purposes of the Company and its subsidiaries, including to make investments, make distributions and for any other matter.
The Note Purchase Agreement contains customary terms and conditions for unsecured notes issued in a private placement, including, without limitation, affirmative and negative covenants such as information reporting, maintenance of the Company’s status as a business development company within the meaning of the Investment Company Act of 1940, as amended, and minimum asset coverage ratio. The Note Purchase Agreement also contains customary events of default with customary cure and notice periods, including, without limitation, nonpayment, incorrect representation in any material respect, certain judgements and orders, and certain events of bankruptcy.
The Note was offered in reliance on Section 4(a)(2) of Securities Act of 1933, as amended (the “Securities Act”). The Note was not, and will not be, registered under the Securities Act or any state securities laws and, unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act, as applicable.
