Explanation of Responses:

1. Represents a grant of two separate, restricted stock units ("RSUs") for a total of 136,488 RSUs that was granted to the Reporting Person prior to becoming a Section 16 reporting person. Of the 136,488 RSUs, 65,789 RSUs were granted on February 1, 2023, that vest in one-third increments on each of the first three anniversaries of the grant date of February 1, 2023, in each case subject to continued service through the vesting date and certain acceleration rights. 70,699 RSUs were granted on April 5, 2023, that vest in one-third increments on each of the first three anniversaries of the grant date of April 5, 2023, in each case subject to continued service through the vesting date and certain acceleration rights.
