Explanation of Responses:

1. Each Deferred Share Unit (each, a "DSU") is the economic equivalent of one share of common stock of Canadian Pacific Railway Limited. DSUs are held until termination of employment.

2. The reporting person's original Form 3, which reported 3,761 DSUs, inadvertently omitted 376 directly owned DSUs. An amendment to the reporting person's original Form 3 filed on July 5, 2016 inadvertently reported this omission as 387 directly owned DSUs. This further amendment is being filed solely to correct such holdings
