2. Reflects purchases under the Company's ESPP plan which are not required to be reported on an ongoing basis. The purchases are being reported on this Form 5 to accurately reflect the reporting person's ownership of the issuer's shares as of the current date.

3. Reflects shares forfeited for taxes in connection with the vesting of accrued FG stock dividends on Fidelity National Financial, Inc. restricted stock awards, which were previously unreported due to administrative oversight.
