Explanation of Responses:

1. The shares reported in Box 5 are the total shares owned by the Holder Enterprises, LLC. Mr. Holder disclaims beneficial ownership of the securities held by the LLC, except to the extent of his pecuniary interest in the securities (i.e., he owns 25% of the LLC).

2. Initial award of restricted stock to director pursuant to Stock Incentive Plan.

3. Each restricted stock share that is unvested is subject to certain restrictions on disposition as well as certain forfeiture rights, which will lapse upon vesting.
