1. Shares include 2,210 shares acquired on August 14, 2019 pursuant to the issuer's Employee Stock Purchase Plan.

2. Sale pursuant to a Rule 10b5-1 trading plan entered into by reporting person.

3. The stock options are exercisable as to 25% of the shares on December 27, 2019 and the remaining options are exercisable at a rate of 1/36th of the shares on the 27th of each month over the remaining three years, subject to the reporting person's continuous service with the issuer.
