1. Represents restricted stock granted to the reporting person under the Issuer's 2018 Equity Plan with a single vesting date of May 20, 2026. Such restricted stock is subject to forfeiture if the requisite service period is not completed.

2. Includes 142,227 shares of Lucid common stock distributed by PAVmed on February 15, 2024 to Dr. Aklog, representing his share of the shares of Lucid common stock distributed by PAVmed to its shareholders on a pro rata basis on such date.
