Explanation of Responses:

1. The Options were issued pursuant to the Company's Amended and Restated 2008 Long-Term Incentive Compensation Plan and shall vest and become exercisable over a period of three (3) years, with 250,000 shares vesting immediately upon January 9, 2017 and the remaining 750,000 shares vesting in three (3) installments of 250,000 each, annually, on the first, second and third anniversary of the option grant.
