Explanation of Responses:

1. Reflects the payout of the restricted stock units, previously granted under the Denny's Corporation 2017 Omnibus Incentive Plan, that vested 100% upon the second anniversary of the grant date and are payable on a "1-for-1" basis in common stock of the Issuer within 30 days of the vesting date.

Remarks:

This amendment to the Form 4 that was filed on May 24, 2022 is to correct the amount of securities beneficially owned following the reported transactions. The original Form 4 inadvertently showed beneficial securities owned in the amount of 107,592 and 96,604, whereas the correct amounts should be 37,498 and 26,510.
