On May 16, 2018, 55,132 shares of Common Stock directly owned by CD&R Allied Holdings, L.P. were distributed to the Reporting Person, who is a limited partner of CD&R Associates VIII, L.P., the sole stockholder of the general partner of CD&R Allied Holdings, L.P., in connection with a charitable gift made by the Reporting Person on May 16, 2018 exempt under Rule 16b-5.
