Explanation of Responses:

1. On November 25, 2019, the reporting person filed a Form 4 which reported that, following the disclosed grant of 2,014 restricted stock units ("RSUs"), she had cumulative beneficial ownership of 9,578 shares of the issuer's common stock. The beneficial ownership total reported in Column 5 of Table I inadvertently failed to include a previously disclosed grant of 4,191 RSUs, which was reported on a Form 4 filed on June 4, 2019. Therefore, the beneficial ownership on the original November 25, 2019 Form 4 should have totaled 13,769 shares of common stock, and all subsequent Form 4s filed by the reporting person should have included the additional 4,191 shares of cumulative beneficial ownership.
