Explanation of Responses:

1. These securities are owned by Mr. David Wung Pok Liu. On November 30, 2015, Mr. Liu entered into a Joinder Agreement to a Voting Agreement with Ms. Chan King Yuet and other Company stockholders, as reported on Amendment No. 3 to the Schedule 13D of Ms. Chan and such other stockholders, filed on January 19, 2016, granting Ms. Chan voting, but not dispositive power over, nor a pecuniary interest in, such shares. As reported in such Amendment No. 3, Mr. Liu is a member of a "group" with certain other stockholders for purposes of Section 13(d) of the Exchange Act.
