Explanation of Responses:

This Amended Form 3 is being filed solely to amend the number of shares reported as directly owned by the reporting person on their original Form 3 filed on February 17, 2016, which were mistakenly under-reported. This same error was carried forward on subsequent Forms 4 filed by the reporting person.
